1. Who we are and what Tero is

Tero (tero.capital) is software operated by TRCPL Ltd (trading as Tero), company number 17336273, registered in England and Wales ("Tero", "we", "us").

Tero provides automated research: due-diligence reports on companies compiled from public sources and official registers, and monitoring of companies you tell us you hold. Tero is information software. We are not a fund, we do not hold client money, we are not authorised or regulated by the Financial Conduct Authority, and nothing Tero produces is investment, legal or tax advice or a personal recommendation. You make your own decisions and should verify material facts before acting.

2. Your account

You need an account to use Tero. Keep your credentials secure; you are responsible for activity under your account. You must be 18 or over.

You can delete your account at any time from Profile & settings. Deletion is immediate and removes your data as described in our Privacy Policy.

3. Subscriptions and billing

Paid plans are billed in advance by card through Stripe, monthly or annually, and renew automatically until cancelled. Prices are shown at checkout; where VAT applies it is stated there.

You can cancel at any time from the billing portal in Profile & settings, with no email needed and no questions asked. Cancellation takes effect at the end of the period you have paid for, and you keep access until then.

If a renewal payment fails we will retry and email you; if payment cannot be collected your plan downgrades to the free tier. We do not delete your data when a subscription lapses.

4. Refunds

First subscription: if Tero isn't for you, email support@tero.capital within 14 days of your first payment and we will refund it in full. This sits alongside, and does not limit, your statutory rights under UK consumer law.

By starting a subscription you ask us to supply the service immediately, which means the statutory 14-day cooling-off period for digital services is modified accordingly. Our 14-day money-back promise above is designed to leave you no worse off.

Renewal payments are generally not refundable once a new period has started, except where the service was materially unavailable or the law requires otherwise. If something went wrong, email us. We are one message away and we are reasonable.

5. Fair use

Plans include stated usage allowances (for example, a number of diligence runs per month). Allowances are per account, for your own investing activity, and don't roll over.

You may share individual reports and exported memos with co-investors. You may not resell Tero's output as a service, systematically extract our data, use Tero to build a competing dataset, or attempt to circumvent usage limits.

6. The data in reports

Reports are compiled automatically from public sources and official registers (including Companies House, the FCA Financial Services Register, The Gazette, The National Archives' Find Case Law, sanctions lists and commercial data providers). Contains public sector information licensed under the Open Government Licence v3.0 and the Open Justice Licence.

We work hard on accuracy: every report cites its sources and says what could not be verified. But sources can be wrong, stale or incomplete, and automated analysis can err. Reports are a starting point for your own judgement, not a substitute for it.

Reports may include personal data from public registers (for example directors' names). We process it under legitimate interests as described in our Privacy Policy; we are registered with the ICO.

7. Intellectual property

You own your data. The reports we generate for you are yours to use for your investing activity, including sharing with co-investors. The Tero software, brand and design are ours.

8. Liability

Nothing in these terms excludes liability that cannot be excluded by law (including for fraud, or death or personal injury caused by negligence).

Subject to that: Tero is provided "as is"; we are not liable for investment outcomes or decisions you make; we are not liable for indirect or consequential loss; and our total liability to you in any 12-month period is capped at the fees you paid us in that period.

9. Changes and ending the service

We improve Tero continuously and may change features. If we make a change that materially reduces what you pay for, or increase your price, we will tell you in advance and you can cancel before it takes effect (with a pro-rata refund of any prepaid period affected by a withdrawal of the service).

We may suspend or close accounts that breach these terms. We may update these terms; the current version always lives at tero.capital/terms and material changes will be notified by email.

10. Governing law and contact

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, though if you are a consumer you keep any mandatory protections of your home country.
